Company Secretary

About the Position

This role will provide the successful candidate with global market exposure in an agile and flat organisation. Expansion plans, a company culture of inclusiveness and collaboration and a fun and flexible environment are just some of the qualities of joining this team. 
The role itself will report into the CFO with stakeholders to include the Board of Directors, Non-Exec Directors, CEO's and wider leadership teams. You will provide corporate governance support, company secretarial advice, organise board papers and be a key player in embedding the highest standard of ethics to include regulatory and business conduct. 

Key Responsibilities 

Strategy
  • Provide corporate governance support and advice
  • Lead, manage and support provision of company secretarial advice and transactional support
    for projects and transactions involving the Company
  • Promote a culture and practice of good conduct of business and adherence to all corporate
    secretariat Policies and Standards
Business Advisory
  • Provide corporate governance and corporate authorities advice for proposed corporate transactions including acquisitions, disposals and divestments. 
  • Ensure projects are compliant
  • Act as "trusted advisor" to Directors of Group entities
Board & EXCO Support
  • Provide advice to the management team on Board, Board Committees, EXCO agenda to ensure the Directors and Company management have appropriate information for decision making
  • Coordinate and follow through the execution of all board and shareholder resolutions and minutes, including any underlying documents
Governance
  • Organise for execution and filing of relevant reports, returns, board papers and other documents
  • Monitor and ensure compliance with the local governance requirements, obtaining support from the company secretarial service provider in each jurisdiction
  • Coordinate finalization and lodgement of the Financial Statements with auditors
Regulatory and Business Conduct
  • Take personal responsibility for embedding the highest standards of ethics. This includes understanding and ensuring compliance with, in letter and spirit, all applicable laws, regulations and guidelines
  • Effectively and collaboratively identify, escalate, mitigate and resolve risk, conduct and compliance matters

Experience/Requirements 

  • A qualified Chartered Secretary (6 – 8 years of experience) 
  • In depth company secretarial technical knowledge and experience, ideally working within financial services or a fast-paced, ever-changing & regulated start-up company
  • Knowledge and understanding of Irish Companies Act and corporate governance laws, regulations and rules. Experience in other jurisdictions will be beneficial
  • Demonstrated excellence in corporate governance administration and advice, including business advisory support as a Company Secretary or legal adviser.
  • Demonstrated minute taking quality and matters arising administration
  • Prior experience working with employee share schemes
  • Ability to understand and anticipate the needs of stakeholders
  • Ability to manage a board of directors and an executive committee
  • Working knowledge of "Blueprint one world”, or a similar database

Remuneration Package

This is a permanent role, salary €80 - €90k with 5% pension match and Employee Medical Cover. 25 days annual leave.
