Are you an experienced governance professional ready to play a pivotal role in one of Ireland’s most high-profile environmental organisations? We are looking for a Company Secretary to join our growing Legal Department in Dublin.
Reporting to the Head of Legal, you will ensure the organisation maintains outstanding corporate governance, meets its legal and statutory obligations, and maintains seamless corporate operations.
The Role: What You'll Do
Corporate Governance & Compliance: Promote robust governance practices, support adherence to relevant laws and guidelines, and ensure full compliance with Irish company law and CRO requirements.
Board & Committee Management: Facilitate the full governance cycle for the Board and its Committees—preparing agendas, collating board packs, attending meetings, drafting accurate minutes, and managing the AGM.
Statutory Records & Filings: Maintain company registers (members, directors, beneficial owners) and keep the company constitution and internal policies updated, transparent, and compliant.
Legal Department & Commercial Support: Act as a key resource within the Legal Department by assisting with the preparation and review of contracts, legal documents, policy development, and risk mitigation strategies.
Stakeholder Engagement: Act as a trusted point of contact, facilitating effective communication between the Board, Executive Team, members, and external regulatory bodies.
Who We're Looking For
Experienced governance professional with a strong background in corporate governance and company secretarial practices, ideally supporting Boards and senior stakeholders. A CGI/ICSA qualification is highly desirable.
Strong knowledge of Irish company law, statutory filings, and regulatory frameworks, complemented by general legal and commercial awareness.
Detail-oriented, highly organized self-starter capable of taking ownership of the governance calendar and managing competing priorities.
Proactive, collaborative team player who exercises flawless discretion and confidentiality when handling sensitive strategic matters.
Genuine interest in sustainability and driving Ireland’s circular economy ambitions forward.
